Terms of Service
Last updated: October 2026
These Terms of Service (“Terms”) govern the use of the YARDAN website and services provided by YARDAN OÜ (“YARDAN”, “we”, “us”).
By submitting a task through the YARDAN website, you agree to these Terms. Submission of a task does not, by itself, create an obligation to purchase services or pay any fee.
Where YARDAN and a client separately agree on specific terms for a task, including its scope, price or payment arrangements, those specific terms form part of the agreement for that task and prevail over these Terms in the event of any conflict.
1. About YARDAN
YARDAN OÜ is an Estonian business consulting and business services company operating under the YARDAN brand.
YARDAN provides business consulting, research, analysis, decision support and task-based business services to companies, entrepreneurs and professionals.
Our work may include, depending on the client’s needs:
- business and management consulting;
- market, industry and competitor research;
- business analysis and decision support;
- supplier, partner and commercial opportunity research;
- market-entry and business-development support;
- analysis and comparison of commercial proposals, documents and information;
- preparation and drafting of business materials, reports and correspondence;
- data and information processing;
- operational and administrative business support; and
- other business-related tasks agreed with the client.
YARDAN operates as an AI Business Agent, combining modern technology, including artificial intelligence, with human oversight, professional judgement and review where appropriate.
The exact nature, scope and method of work may vary depending on the task and the client’s objectives.
YARDAN may perform both advisory work, where we provide analysis, recommendations or decision support, and execution-oriented work, where we research, prepare, analyse or otherwise carry out a specific business task for the client.
2. Business Use
YARDAN services are primarily intended for businesses, entrepreneurs and professionals acting in connection with their trade, business or professional activities.
Unless expressly agreed otherwise, our services are provided on a business-to-business basis.
3. Submitting a Task
You may submit a task through our website or another available communication channel.
Submitting a task allows YARDAN to review your request but does not automatically:
- create a payment obligation;
- establish a price;
- require you to purchase any service; or
- require YARDAN to perform or complete the task.
After receiving a task, YARDAN may:
- review and assess the request;
- request additional information;
- clarify the objective or scope;
- communicate with you regarding the task;
- perform research or preliminary work;
- proceed with the task where appropriate; or
- decline the task.
Any specific commercial terms may be discussed separately with the client.
4. Work First — Value and Price After
Unless a different pricing arrangement is agreed in advance, YARDAN may choose to perform and present work before a final price has been agreed.
This approach allows the client to review the work and assess its practical value before the parties agree on the price.
Delivery of work before a price has been agreed does not, by itself, create an obligation for the client to pay a price that has not been accepted by the client.
After the work has been presented, YARDAN and the client may discuss its scope, quality and practical value and agree on a fair price.
A price becomes payable only when it has been agreed between YARDAN and the client, unless another pricing arrangement was expressly agreed in advance.
YARDAN may provide indicative value ranges or pricing guidance to assist this discussion. Such guidance does not become binding unless agreed by the client.
This approach may be summarised as:
Work first. Fair value after. Price agreed together.
5. Our Services
YARDAN approaches each task with the objective of producing a useful and practical business result rather than merely providing general information.
Depending on the task, our work may involve understanding the client’s objective, conducting research, analysing available information, comparing alternatives, preparing materials, identifying relevant risks or considerations, and presenting findings or recommendations in a form suitable for practical business use.
Where appropriate, YARDAN may also identify relevant considerations, opportunities or issues that go beyond the client’s initial request where doing so is reasonably connected with the purpose of the task.
The nature and depth of the work will depend on the task, the information available, the client’s requirements and any scope separately agreed between YARDAN and the client.
YARDAN aims to exercise reasonable care and professional judgement in performing its services. However, business research, analysis and advisory work necessarily involve assumptions, judgement and information that may change over time.
Research, external data sources and AI-assisted processes may contain errors, omissions or limitations. YARDAN therefore does not guarantee that every output will be complete, error-free or suitable for every possible purpose.
Unless expressly agreed otherwise, YARDAN does not guarantee any particular commercial, financial or business outcome resulting from its work.
Clients remain responsible for their own business decisions and for determining whether and how to act on YARDAN’s work.
6. AI-Assisted Services
YARDAN may use artificial intelligence and other third-party technologies when performing tasks.
AI may assist with activities including research, analysis, drafting, information processing and preparation of preliminary work.
Where appropriate, YARDAN applies human review before delivering final work to clients.
7. Client Responsibilities
You are responsible for ensuring that information, instructions and files you provide:
- may lawfully be provided to YARDAN;
- do not unlawfully infringe third-party rights;
- are reasonably accurate and sufficient for the requested task; and
- do not contain unnecessary personal or sensitive information.
You should inform YARDAN before submitting information that requires specific confidentiality, security or handling requirements.
8. Confidentiality
YARDAN treats non-public information received from clients as confidential.
Such information will be used only as reasonably necessary to assess and perform requested work, communicate with the client, provide and operate our services, comply with applicable law, and protect legitimate legal and business interests.
Where necessary to provide our services, information may be processed by selected technology and service providers subject to applicable data-protection and contractual safeguards.
Additional information about the processing of personal data is provided in our Privacy Policy.
9. Fees and Payment
Unless expressly agreed otherwise, submitting a task through the YARDAN website does not create a payment obligation.
Depending on the task, YARDAN and the client may agree:
- a price after the work has been presented;
- a price range;
- a fixed fee;
- a project fee;
- a recurring commercial arrangement; or
- another mutually agreed pricing model.
Any price or payment arrangement agreed for a particular task forms part of the agreement for that task.
Where YARDAN performs work before a price is agreed, no unilateral price subsequently proposed by YARDAN is binding on the client unless the client accepts it.
10. Intellectual Property and Use of Deliverables
Each party retains ownership of intellectual property, materials, data and other rights it owned before the relevant engagement.
Where work is presented before a price has been agreed, the client may review and evaluate that work for the purpose of assessing its value and deciding whether to agree on the proposed commercial terms.
Unless otherwise agreed in writing, the right to use final deliverables for the client’s business purposes is granted once the applicable price has been agreed and paid.
Until then, presentation of work for review does not constitute an unrestricted transfer or licence of YARDAN’s intellectual property rights in that work.
Third-party materials, data, software, artificial intelligence systems and other third-party intellectual property remain subject to their respective rights, restrictions and licence terms.
11. Prohibited Requests
YARDAN may refuse, suspend or discontinue tasks that:
- are unlawful or fraudulent;
- are intended to cause harm;
- unlawfully infringe third-party rights;
- violate applicable regulations;
- create unreasonable legal, security or ethical risks; or
- cannot reasonably be performed safely or responsibly.
12. Third-Party Information
YARDAN’s work may rely on information obtained from third-party sources.
While we aim to use appropriate sources and reasonable care, YARDAN does not control third-party information and cannot guarantee that external information will always be accurate, complete, current or continuously available.
13. Professional Advice
Unless explicitly agreed otherwise, YARDAN’s services do not constitute legal, tax, investment, medical or other regulated professional advice.
Where regulated or specialist professional advice is required, clients should obtain advice from an appropriately qualified professional.
14. Limitation of Liability
To the maximum extent permitted by applicable law, YARDAN shall not be liable for indirect, incidental, special or consequential losses arising from or relating to the use of our services.
YARDAN is not responsible for losses resulting from inaccurate or incomplete information provided by a client, reliance on third-party information outside YARDAN’s reasonable control, or use of deliverables for purposes materially different from those for which they were prepared.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
15. Termination
Either party may discontinue an engagement in accordance with the terms agreed for the relevant task.
YARDAN may refuse, suspend or stop work where continuing would violate applicable law, these Terms, third-party rights, or create a material legal or security risk.
Any rights or obligations that by their nature should survive termination will remain in effect.
16. Governing Law
These Terms are governed by the laws of Estonia, subject to any mandatory provisions of applicable law.
Any dispute arising from or relating to these Terms or YARDAN’s services shall be subject to the jurisdiction determined under applicable law unless the parties agree otherwise in writing.
17. Changes to These Terms
YARDAN may update these Terms as our services, technology or business practices develop.
The current version will be published on this page together with the date of the latest update.
Changes will not retroactively alter separately agreed terms for an existing task unless required by law or agreed between the parties.
